Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of CapTableClash (the “Service”), a free web-based game for practicing finance interview questions and Excel keyboard shortcuts. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of terms

By creating an account, signing in, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference.

2. Description of the service

CapTableClash is a free, browser-based educational tool. It lets you practice timed finance interview questions and Excel keyboard shortcuts against simulated opponents (“bots”) or, where available, other players in real time. The Service may track a numeric skill rating (“ELO”), win/loss records, and standings on a public leaderboard. The Service does not charge for access and does not process payments of any kind.

We may add, change, or remove features, game modes, or content at any time, and we may suspend or discontinue the Service, in whole or in part, without notice.

3. Eligibility and age

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service with the involvement and consent of a parent or legal guardian. By using the Service, you represent that you meet these requirements.

4. Accounts

You can use most of the Service as a guest, with your rating and progress stored only in your browser. Creating an account lets your rating, handle, and match history follow you across devices and appear on the leaderboard.

To create an account, you must provide a valid email address and choose a handle that is not already in use. Authentication is handled by a secure third-party provider (see Section 9, Third-party services); we never see or store your password. You are responsible for safeguarding access to your account, including the email address or Google account used to sign in, and for all activity that occurs under it. You agree to provide accurate information, keep it up to date, and notify us promptly if you believe your account has been accessed without authorization.

You may not create or use more than one account to evade a suspension or ban, to manipulate your rating or standing on the leaderboard, or to hold more than one leaderboard position at the same time, including smurfing (playing under a second account to face weaker opposition than your real skill would otherwise be matched against). Your handle may not be offensive or inappropriate, and may not contain a web address, advertising, or other promotional content.

We may suspend or permanently ban an account that violates this section, without prior notice.

5. Prohibited conduct

You agree to use the Service only for its intended purpose: practicing and playing. Without limiting the above, you agree not to:

  • Use the Service for any unlawful purpose, or in a way that violates any applicable law or regulation.
  • Infringe the intellectual property, privacy, or other rights of us or any third party.
  • Harass, abuse, threaten, defame, or discriminate against another player or anyone else.
  • Scrape, crawl, or use automated means to extract data from the Service beyond normal use of the game.
  • Cheat, or use unauthorized third-party software, bots, scripts, or artificial assistance during gameplay, or otherwise attempt to gain an unfair advantage. Section 6 (Fair play) sets out what this means in practice for a duel.
  • Use the Service, including your handle or profile, to advertise or solicit for products or services unrelated to CapTableClash.
  • Exploit bugs, race conditions, or unintended behavior of the matchmaking, scoring, or rating systems instead of reporting them.
  • Attempt to access, probe, or disrupt the Service's infrastructure, including the matchmaking server, database, or authentication system, beyond normal use of the game.

We may remove content, reset ratings, or suspend or terminate accounts that we reasonably believe violate this section, without prior notice.

6. Fair play

CapTableClash's ratings and leaderboard only mean something if every duel is played fairly, without external assistance. Beyond the general rules in Section 5, the following are never allowed during a duel:

  • Using AI tools, chatbots, bots, scripts, or automated analysis during an active duel.
  • Looking up answers, or receiving help from another person or program, while a duel is in progress.
  • Using macros, key-remapping tools, or any software that automates keystrokes. This applies with particular force to Excel Shortcut mode: the entire point of that mode is executing the shortcut yourself, and automating it defeats the purpose of playing at all.
  • Using multiple accounts to manipulate ratings, leaderboard standings, or match outcomes, including smurfing or holding more than one leaderboard position.
  • Deliberately losing a duel to manipulate your own or another player's ranking.
  • Rating manipulation or ELO farming of any kind, including playing against your own alternate account, colluding with another player to inflate or deflate a rating, or intentionally losing to boost another account.
  • Stalling or wasting time during a duel, including deliberately running down the clock or going inactive to make your opponent wait.
  • Any other form of cheating or rule manipulation not listed above.

Fair play violations may result in suspension or a permanent ban, at our discretion.

7. Your content and handle

You choose a display handle when you create a profile, subject to the requirements in Section 4 (Accounts). Your handle, rating, win/loss record, and match results may be shown publicly on the leaderboard and match history pages. We may reject or change a handle that violates these Terms.

8. Intellectual property

The Service, including its design, text, questions, characters, and code (but excluding your handle and any content you submit), is owned by us or our licensors and is protected by intellectual property law. You may use the Service for personal, non-commercial practice. You may not copy, reproduce, redistribute, or create derivative works from the Service without our prior written permission.

9. Third-party services

The Service uses third-party providers to operate, including Supabase for account authentication and data storage, and Google as an optional sign-in provider. Your use of those sign-in methods is also subject to that provider's own terms and privacy policy. We are not responsible for the availability or practices of third-party services.

10. Not financial or career advice

The questions, explanations, and content in the Service are provided for interview preparation and educational practice only. Nothing in the Service is, or should be construed as, financial, investment, accounting, tax, legal, or career advice, and it is not a substitute for professional judgment or advice from a qualified professional. Any characters, firms, or scenarios depicted are fictional parodies and do not describe or endorse any real person, company, or investment.

11. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the content is accurate or complete.

12. Limitation of liability

To the fullest extent permitted by law, we and our contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, opportunity, or goodwill, arising from or related to your use of, or inability to use, the Service, even if advised of the possibility of such damages. Because the Service is free and does not process payments, our total liability to you for any claim arising from these Terms or the Service will not exceed fifty US dollars ($50).

13. Termination

You may stop using the Service, or ask us to delete your account, at any time. We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for suspected violation of these Terms. Sections of these Terms that by their nature should survive termination (including Sections 8, 10, 11, and 12) will survive.

14. Changes to these terms

We may update these Terms from time to time. If we make significant changes, we will post them here with an updated “Last updated” date above and, where practical, provide additional notice. Continuing to use the Service after a change takes effect means you accept the revised Terms.
